All our senior underwriters are M&A lawyers or tax advisors from various jurisdictions who have at least ten years of experience in the field of M&A consulting or in the field of underwriting of M&A insurance. Our Transaction Liability team has particular expertise in cross-border M&A transactions. In addition, our Transaction Liability team specializes in covering US transactions and integrating typical US-style cover variants into German policies.

Who we can help

All companies engaged in M&A activity, including acquisitive corporations, private equity funds (buying or selling), corporate spinoffs, asset sales or purchases, and refinancing transactions. Target transactions size is $25 million to $1 billion, but larger and smaller deals can also be underwritten.

We also look for:

M&A transactions where the underlying warranties are made by a knowledgeable party and accompanied by a full disclosure exercise
Opportunities to replace risk allocation mechanisms (escrow, indemnity, holdback) on an M&A transaction with insurance capital
Opportunities to add value through flexible and sophisticated underwriting, either as a lead insurer or working with other markets to achieve the capacity or solution required.

Examples or Scenarios

The insured sued a third party to not use their intellectual property (IP), but lost. The third party asserted a counterclaim against the target. Despite some questions raised as to whether the claim was 100% covered by the insurance, Beazley paid the claim and they settled with the third party.
